Agreement to Terms

By accessing or using TrainMeUK's automated compliance training platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Service.

These Terms are intended for business use only. If you accept these Terms on behalf of an organisation, you confirm that you have authority to bind that organisation.

Description of Service

TrainMeUK provides an automated compliance training platform that helps organizations manage and track employee training requirements. Our Service includes:

  • Automated training assignment and tracking
  • Azure AD integration for user management
  • Compliance reporting and audit trails
  • Custom training content creation
  • Mobile-responsive training delivery
  • Support and maintenance services

User Accounts and Registration

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account and use the Service.

Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Upload or transmit malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Reverse engineer, decompile, probe, or attempt to discover source code or non-public system architecture except where law expressly permits
  • Use automated tools to scrape, harvest, or extract data from the Service except through approved interfaces
  • Use AI-related features in a way that violates law, third-party rights, or your own internal employment/compliance obligations
  • Use the Service for any commercial purpose not expressly permitted
  • Share account credentials with unauthorized users

Subscription and Billing

Subscription Plans

We offer various subscription plans with different features and user limits. Subscription fees are billed in advance on a monthly or annual basis.

Payment Terms

Payment is due upon subscription activation unless otherwise agreed in writing. We accept major credit cards and may offer invoice billing. Invoice terms are net 30 days unless your order form states otherwise. Fees are exclusive of VAT and other applicable taxes unless expressly stated.

Auto-Renewal and Cancellation

Unless otherwise stated in an order form, paid subscriptions automatically renew for successive terms equal to the initial subscription term. You may cancel renewal at any time before the next renewal date. Cancellation takes effect at the end of the then-current paid term.

Price Changes

We may change our pricing with at least 30 days' notice. Price changes will not affect your current billing cycle and will apply from your next renewal term.

Late Payment and Suspension

If undisputed fees are overdue, we may charge statutory or contractual late-payment interest, suspend access on reasonable notice, and recover reasonable costs of collection where lawful. We will not suspend where charges are being actively and reasonably disputed in good faith.

Refunds

Except where required by law or expressly stated in an order form, fees are non-refundable and no refunds or credits are provided for partial periods or unused features.

Intellectual Property Rights

Our Rights

The Service and its original content, features, and functionality are owned by TrainMeUK and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Content

You retain ownership of content you upload to the Service. By uploading content, you grant us a limited license to use, store, and display that content solely to provide the Service.

License to Use

We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes in accordance with these Terms.

Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

We process personal data in accordance with UK GDPR requirements and implement appropriate technical and organisational measures to protect information.

For customers acting as data controllers, TrainMeUK acts as processor for relevant customer personal data processed through the Service. Where applicable, data processing terms agreed between the parties govern controller/processor obligations.

Service Availability and Support

Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted access. We may perform maintenance that temporarily affects service availability.

Support Services

We provide support during UK business hours (9AM-5PM GMT) through email, phone, and live chat. Enterprise customers may receive additional support options.

Updates and Changes

We may update the Service from time to time to improve functionality, security, or user experience. We will provide reasonable notice of material changes.

Limitation of Liability

To the maximum extent permitted by law, TrainMeUK shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, revenue, business opportunity, anticipated savings, goodwill, or data.

Our aggregate liability for claims arising out of or in connection with these Terms shall not exceed the total fees paid by you to TrainMeUK in the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation, or death/personal injury caused by negligence.

Indemnification

You agree to defend, indemnify, and hold harmless TrainMeUK and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content you upload or transmit

Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to:

  • Warranties of merchantability and fitness for a particular purpose
  • Warranties that the Service will be uninterrupted or error-free
  • Warranties regarding the accuracy or reliability of any information
  • Warranties that AI-assisted outputs, recommendations, or verification results will be complete, accurate, or fit for a specific regulatory purpose

You are responsible for reviewing and validating outputs used for compliance, employment, or regulatory decisions. TrainMeUK does not provide legal, regulatory, or employment advice.

AI-Assisted Features

Certain features may use AI-assisted processing. AI outputs may be probabilistic and can be inaccurate or incomplete.

  • AI-assisted verification and content outputs are support tools and should not be the sole basis for compliance or employment decisions
  • Customer organisations are responsible for applying appropriate human oversight and review
  • Where features route cases for review, review decisions are made by authorised personnel within the customer organisation

Termination

We may suspend or terminate access immediately where reasonably necessary for security risk, legal compliance, unlawful activity, material breach, or continued non-payment of undisputed fees.

Where appropriate, we may provide a reasonable opportunity to cure a remediable material breach before termination.

Upon termination, rights to use the Service cease. We may delete or restrict access to account data in accordance with applicable law, contractual obligations, and retention requirements.

Any provisions that by nature should survive termination (including payment obligations, intellectual property, indemnities, disclaimers, limitations of liability, and dispute provisions) survive termination.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

We encourage you to contact us directly to resolve any issues before pursuing formal legal action.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by:

  • Posting the updated Terms on our website
  • Sending email notifications to registered users
  • Displaying prominent notices on the Service

Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.

General Legal Terms

Force Majeure

Neither party is liable for delay or failure to perform due to events beyond its reasonable control, including telecommunications failure, utility outages, cyber incidents by third parties, labour disputes, natural disasters, or government action.

Assignment

You may not assign or transfer these Terms without our prior written consent. TrainMeUK may assign these Terms as part of a merger, acquisition, corporate reorganisation, or sale of assets.

Entire Agreement and Severability

These Terms constitute the entire agreement regarding website/service use unless superseded by a signed order form or master services agreement. If any provision is held unenforceable, the remaining provisions continue in full force.

No Waiver and Third-Party Rights

Failure to enforce a right is not a waiver of that right. Except as expressly stated, a person who is not a party to these Terms has no right to enforce them.

Notices may be given by email, in-product notification, or posting on the website where appropriate. Legal notices to TrainMeUK should be sent to legal@trainmeuk.co.uk unless otherwise notified.
